Nexo Capital, a cryptocurrency lender, has agreed to pay the United States $45 million in fines. the North American Securities Administrators Association (NASAA) and the Securities and Exchange Commission (SEC) for failing to register the offer and sale of its Earn Interest Product (EIP). The SEC and NASAA both released a statement on January 19 announcing the news. Nexo consented to pay a $22.5 million fine and stop marketing the EIP to American investors without registering it, the SEC said in a release.

According to the study, an extra $22.5 million will be paid in fines to resolve comparable claims made by state regulatory agencies. According to NASAA, after a year of inquiries into Nexo's suspected marketing and sale of securities, a resolution in principle has been reached.

The SEC claimed that during settlement talks, the agency took into account Nexo's rapid remedial actions and level of collaboration in resolving their deficiencies.

“We charged Nexo with failing to register its retail crypto lending product before offering it to the public, bypassing essential disclosure requirements designed to protect investors.”

The SEC's investigation's conclusions were not explicitly accepted or rejected by the company, but a cease-and-desist order accord that forbade any future violations of the Securities Act of 1933 led to Nexo's settlement.

NASAA added that at least 17 different state securities authorities, who concurred with the conditions of Nexo's settlement, carried out the inquiry. Those states were just not identified, but Nexo will still pay each of them a $424,528 fine.

According to Nexo, no allegations of fraud or deceptive business practices were made by U.S. federal regulators. Antoni Trenchev, a co-founder of Nexo, said the company is pleased to have reached a resolution in the United States.

On January 12, Bulgarian authorities started inspecting Nexo's offices there because they were thought to be complicit in a significant scheme of money laundering and infringing on international Russian sanctions. In response to the Cayman Islands Monetary Authority's denial of its application to register as a virtual currency service provider, Nexo filed a lawsuit against the authority on January 16 for allegedly giving “too much weight” to regulators' enforcement operations.

Since its establishment in the Cayman Islands in 2018, Nexo Capital has provided a range of trading, lending, and borrowing services to both institutional and individual consumers in the United States.
