Declining a Bitcoin loan may not spare a cash purchase from futures rules, CFTC says

Lời nói đầu:The CFTCs open consultation examines why applicable financing offers and actual delivery can determine oversight of fully paid retail Bitcoin purchases.

Paying the full price for Bitcoin may still leave a retail purchase under futures-style oversight, according to a preliminary interpretation in the Commodity Futures Trading Commissions open crypto consultation. Declining financing does not, by itself, remove a qualifying trade from that framework when a covered offer applies and neither actual delivery nor another statutory exception removes it from coverage.

The CFTC announced the consultation on Oct. 5, and the advance notice of proposed rulemaking was published in the Federal Register on Oct. 13. Comments are due Dec. 14. It sets out the agencys preliminary reading of existing law and seeks input for possible rulemaking; it does not enact a new final trading rule.

Why an unused financing offer matters

Section 2(c)(2)(D) of the Commodity Exchange Act covers certain retail commodity transactions entered into or offered on a leveraged or margined basis, or financed by the offeror, counterparty or someone acting in concert with them. The retail category excludes eligible contract participants and eligible commercial entities. The framework includes a requirement to trade on a designated contract market, subject to statutory exceptions.

In Section III.A, the CFTC preliminarily says a covered offer can attach to transactions for which the customer could accept it, even if an individual purchase is fully paid. Such offers could appear in onboarding documents, exchange terms or credit agreements and extend across an account or class of trades. The offer must apply to the purchase in question.

Consider a hypothetical retail buyer whose exchange offers financing applicable to a Bitcoin purchase. The buyer declines, pays the entire price and receives a Bitcoin balance recorded only on the exchanges books, without actual delivery. Under the preliminary interpretation in Section III.C, that otherwise qualifying trade remains within the framework applicable to futures before actual delivery, unless another statutory exception applies.

For exchanges, this makes the scope of their financing terms relevant to cash-funded purchases as well as leveraged orders.

The delivery analysis centers on meaningful possession or control. The notice says that, for crypto assets, this may require credentials such as private keys for the relevant wallet or account. A displayed balance alone does not establish that the customer has received that control.

The statutory delivery exception generally requires actual delivery within 28 days, or a longer period the Commission sets under the statute. A separate exception covers certain business delivery contracts with enforceable obligations between parties able to deliver and accept delivery in their lines of business. Paying in full alone establishes neither exception.

Even after actual delivery, the notice says the CFTC retains anti-fraud and anti-manipulation authority. Within the broader proposed market framework previously covered by CryptoSlate, the financing offer, the customers status and delivery matter alongside how the purchase was paid for.
