After the CLARITY Act Stalled: SEC Tokenization Exemption, CFTC Proposal and Spot Gaps

abstrak:The SEC granted a temporary, conditional exemption for certain tokenized-stock venues, while the CFTC is soliciting views on a narrower category of crypto transactions. Neither move replaces a comprehensive law for ordinary spot markets.

Two U.S. regulators are continuing to build pieces of a digital-asset framework after the Digital Asset Market CLARITY Act failed to advance in the Senate. But the most important pieces are at different legal stages: one has already taken effect as limited relief, another is a request for comment, and a comprehensive statutory framework for ordinary spot markets is still missing.

The distinction was highlighted in new October 11 interviews with industry executives and legal scholars. Some expect agencies to enable products faster than Congress could. Others warn that executive-agency changes cannot create the durable boundaries a statute would have established.

The SEC's tokenized-stock exemption is real—and narrow

On September 17 the Securities and Exchange Commission approved a temporary, conditional Innovation Exemption for limited trading in tokenized National Market System stocks on qualifying tokenized-securities venues. The published conditions include permissioned trading, transaction transparency, restrictions on symbols and volumes, protections around trading halts, records and systems controls.

A venue still has to satisfy those conditions. The exemption does not mean any decentralized exchange can trade any security without other obligations, nor does it certify the economic value of a particular token. The SEC describes the mechanism as a controlled way to learn from live onchain trading while considering longer-term rules.

For tokenized equities, that is a meaningful legal opening. It is not a general charter for Bitcoin spot exchanges or every DeFi pool.

The CFTC's October 5 document begins a process

The Commodity Futures Trading Commission issued an Advance Notice of Proposed Rulemaking on October 5 covering specified retail commodity transactions involving crypto assets under Section 2(c)(2)(D) of the Commodity Exchange Act. It seeks views on market conduct, trading safeguards and a possible crypto-asset-market subcategory within designated contract market registration.

An advance notice is not a completed regulation or an approved exchange license. The agency is inviting input for possible future rulemaking. Businesses cannot assume the proposed framework is immediately available to them merely because it appears in an official press release.

The scope also matters. Margined or leveraged retail transactions are not the same legal category as every ordinary, fully paid spot purchase. A rule addressing one part of the market cannot automatically close another part's oversight gap.

Custody proposals solve a different problem again

On October 1 the SEC proposed changes addressing how registered investment advisers and regulated funds may custody crypto assets. Its release discusses conditions under which state trust companies could safeguard assets and certain forms of self-custody would be allowed.

That proposal concerns custody arrangements for regulated financial intermediaries. It is not an enacted retail-exchange market-structure statute. A fund being able to hold an asset under clearer conditions does not necessarily establish who supervises every marketplace on which the asset trades.

Together, the three initiatives illustrate why regulation is not one switch that turns crypto “legal” or “illegal.” They cover venue access for tokenized stocks, a subset of crypto commodity trading and custody responsibilities for regulated investment businesses. Each can advance while the broader spot question remains unresolved.

A side-by-side reading of the three legal instruments

SEC tokenized-stock Innovation Exemption, September 17

  • Development: SEC tokenized-stock Innovation Exemption, September 17
  • Legal stage on October 12: Temporary, conditional exemptive order
  • Narrow subject: Eligible tokenized NMS stocks on qualifying permissioned venues
  • What it does not establish: Universal authority for unregistered securities trading or all spot crypto

CFTC crypto asset transactions ANPRM, October 5

  • Development: CFTC crypto asset transactions ANPRM, October 5
  • Legal stage on October 12: Preliminary public-comment process
  • Narrow subject: Specified leveraged, margined or financed retail commodity transactions and potential crypto-asset-market rules
  • What it does not establish: Final operational rules or immediate registration approval

SEC adviser and fund crypto custody proposal, October 1

  • Development: SEC adviser and fund crypto custody proposal, October 1
  • Legal stage on October 12: Proposed rules; comments due December 7
  • Narrow subject: Safeguarding obligations for advisers and regulated funds
  • What it does not establish: A completed retail-exchange oversight framework

The dates matter because a policymaker's announcement, a rule proposal, and an operative exemption confer different practical rights. The CFTC specified that comments on its advance notice are due within 60 days after Federal Register publication; the press release date alone should not be substituted for that statutory publication date. An SEC release, meanwhile, does not exempt a nonqualifying venue simply because it labels its instrument a tokenized stock.

The SEC's September order addresses trading of tokenized National Market System shares through qualified tokenized securities venues using permissioned automated market makers and liquidity pools. Those eligibility conditions are a commercial design constraint, not a minor reporting footnote. They help define which operators can test the model and which cannot.

Why incumbent exchanges may benefit from the patchwork

An established venue already has legal teams, reporting systems and the ability to adapt to detailed recordkeeping and compliance requirements. A smaller protocol may find that legal uncertainty plus conditional exemptions raises fixed costs, even when an agency says it wants to encourage innovation.

That is one interpretation of the October 11 interviews, not an experimentally established industry-wide outcome. Another plausible view is that limited exemptions can give new entrants a foothold without waiting years for legislation. Both depend on how agencies administer relief and how courts interpret statutory authority.

The substantive unanswered question is who has routine supervisory authority over nonleveraged spot platforms in areas that go beyond the CFTC's existing anti-fraud and anti-manipulation powers. Congress can redraw legal boundaries through a statute; agencies must operate within existing delegated powers, which can be challenged or revised.

Watch the instrument, not the headline

For each new regulatory announcement, the practical checklist is: What is the legal instrument? Is it effective? Who is eligible? Which activities does it cover? Is there a comment period, exemption expiry or judicial challenge?

The SEC exemption can produce evidence about market quality and legal rights. The CFTC notice can develop into a rule but has not yet done so. Custody reform can clarify asset safeguarding without settling broader venue jurisdiction. Until the statutory gap is closed, “regulatory progress” will remain a collection of narrower legal pathways rather than a single comprehensive U.S. market-structure regime.
