The sale and reorganization plan was presented by Celsius' Borrowers, and it had the full backing of the company's official committee of unsecured creditors (UCC). According to the concept, a new business would be founded and run by NovaWulf. Additionally, NovaWulf would provide between $45 million and $55 million in direct cash to the new business.
According to the idea, the new venture would shield debtors from bearing large expenses related to selling off customer assets and closing the business. Celsius predicted that, excluding staked Ethereum, over 85% of the bankrupt lender's clients would be able to retrieve over 70% of their obligations in liquid crypto.
With the help of a one-time distribution of Bitcoin, Ethereum, and the stablecoin USDC, the new firm would put creditors with claims under $5,000 relating to Celsius Earn Accounts—accounts that paid customers' attention on cryptocurrency that was later lent out—into a “Convenience Class,” allowing them to receive money.
Creditors owing at least $1,000 may choose to leave the class and receive a piece of the yet-to-be-determined cash collected for general Earn participants. Creditors owing more than $5,000 may lower their claims to that amount in order to join the class.
The creditors of Celsius' Earn would control the entire new firm, and ownership would've been issued as a token that would trade on the Provenance Blockchain network through a licensed broker-dealer.
Around 300,000 users were active on Celsius at the time of its Chapter 11 bankruptcy filing in July, and everyone had an account balance of at least $100. Customers, however, were unable to access their savings after Celsius, citing “severe market conditions,” stopped withdrawals on its platform in June. Recent findings by a court-appointed examiner revealed that Celsius's interest rates were not determined by the realistic return on lending resources rather by the desire to outperform its rivals.
Customers received prizes in the form of Celsius's CEL coin prior to the company filing for bankruptcy. The plan suggests paying back CEL Earn claims at $0.20, the token's price when it was first made available to the general public, even though the token has a current market value of roughly $0.50 and was once valued as high as $8.05.
The recovery process will not take into account Insider CEL token claims, which concern purchasers who received immediate access to the sale. According to the strategy, Celsius approached over 130 parties and signed non-disclosure agreements with 40 prospective buyers. Later, the company received three bids for its mining activities and six proposals for Celsius' retail platform.
With $50 million set aside, NovaWulf would expand Celsius' mining operations to the advantage of stock holders. The new company's mining division would have more than 120 mining rigs and would distribute dividends to equity holders.
NovaWulf and Celsius' Debtors will seek to create a legally enforceable agreement in the coming days now that everyone is on board with the idea. The Southern District of New York bankruptcy court will also need to approve the accord.
If implemented, the suggested strategy might potentially serve as a model for other businesses as Celsius isn't the only crypto lender that has encountered difficulties since the decline in the price of digital assets last year.
